Kuwait Privatization Project Holding Company K.S.C. is a Kuwaiti shareholding company registered in Kuwait on 10 October 1994. The company scope of operations include providing financial, administrative and technical consulting services relating to investment and privatization projects, owning local and foreign companies, making investment in real estate, holding patents and copyrights and advancing of loan facility to the associated companies .

Plan of Action

Kuwait Privatization Projects Holding Company shall focus its activities on exploring, appraising and restructuring the investment opportunities, as well as undertaking and ranking the types of investments which the company shall embark on, in the following manner:

Government Assets:

These assets consist of companies seeking partial profit, which were bought by the Government within the framework of the Indebtedness Settlement Program that resulted from Al-Manakh market crisis. The company shall acquire a major interest in the targeted companies, which will allow it to have influence on the company’s strategic mission.

Build, Operate & Transfer (BOT) Projects:

The BOT projects are designated to privatize the Government services and institutions. Therefore, Kuwait Privatization Projects Holding Company participation shall be in the form of providing financing either by increasing the capital or increasing the loans. The Company shall also seek entering into partnership with specialized companies.

Private Companies:

These are family companies which look for capital for expansion purposes, or seek to change ownerships structure in order to avoid the problems of transfer of management amongst the family members.

New Companies:

The companies that are incorporated by Kuwaiti businessmen.

Formation of Investment Amalgamation:

Kuwait Privatization Projects Holding Company shall endeavor to work with several investors in the first phase or after acquisition. During such phase, the Company shall resort to institutional investors or strategic investors from time to time.

Structuring of Investment:

Forms of Investment:

The structuring of investment in the targeted companies shall take the following forms:

Participation in stock ownership with equal rights in relation to those enjoyed by the other shareholders. This shall represent a suitable arrangement in case the targeted companies are Government assets fully or assets of some private companies. Intermediary financing with selection right. This provides a convenient structure for acquiring private and new companies as it minimizes management risk and allows for matching up the interests of the management with those of Kuwait Privatization Projects Holding Company.

Profit Sharing:

A method that allows sharing of profits, which is usually offered by the participating investors to Kuwait Privatization Projects Holding Company in return for management and control of their investment portfolios.
